Agreement to Terms

By engaging RD Partners Ltd ("we", "us", "our") for our services, you ("the Client") agree to be bound by these Terms of Service. These terms form a legally binding agreement between you and RD Partners.

Services Description

We provide specialist tax advisory services, including but not limited to:

  • R&D Tax Credit consultancy and claim preparation.
  • Patent Box advisory.
  • Creative Industry Tax Reliefs.
  • Capital Allowances reviews.

Many of our services operate on a "no-win, no-fee" basis, meaning our fee is contingent on the successful outcome of your claim. The specific fee structure will be detailed in your engagement letter.

Client Obligations

The Client agrees to:

  • Provide complete, accurate, and timely information necessary for us to perform our services.
  • Cooperate fully with us and with Revenue in the event of an enquiry.
  • Maintain adequate records to support any claim made.
  • Disclose all relevant facts and circumstances that may impact the services.

Our Obligations

We agree to:

  • Perform our services with reasonable care, skill, and diligence, in accordance with professional standards.
  • Maintain the confidentiality of your information.
  • Act in your best interests and comply with all applicable laws and regulations.

Fees and Payment

Our fee structure (e.g., success-based percentage, fixed fee, hourly rate) will be agreed upon in your engagement letter. Payment is due upon receipt of the tax benefit from Revenue or as otherwise specified. All fees are exclusive of VAT, which will be added where applicable. We reserve the right to charge interest on late payments.

Intellectual Property

We retain all intellectual property rights in the materials we develop in the course of providing our services. The Client retains ownership of all data and information they provide to us.

Limitation of Liability

Our liability to you is limited to the amount of fees paid for the service in question. We are not liable for any loss or damage arising from inaccurate or incomplete information provided by you. This does not exclude or limit our liability for death, personal injury, or fraud. The ultimate decision on any tax claim rests with Revenue.

Confidentiality

Both parties agree to keep confidential all information obtained about the other, except where disclosure is required by law, a regulatory body, or for the purpose of obtaining professional advice.

Data Protection

We will process your personal data in accordance with our Privacy Policy and current data protection legislation.

Termination

Either party may terminate the engagement by providing written notice. In the event of termination, you will be liable to pay for all work performed up to the date of termination, and any outstanding fees.

Complaints Procedure

Should you have any concerns about our service, please contact us at partnerships@rd.partners. We will investigate your complaint promptly and thoroughly.

Professional Indemnity

We maintain professional indemnity insurance to cover our legal liability for any claims arising from our services. Details can be provided upon request.

Governing Law

This agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the law of Ireland. The courts of Ireland shall have exclusive jurisdiction.

Changes to Terms

We reserve the right to update these terms from time to time. We will notify you of any significant changes.
